1. INTRODUCTION

These Terms and Conditions (“Terms”) govern your use of the CheckConnect website and the Services provided by Bridgent Holdings Pty Ltd (ABN 91 692 868 170), trading as CheckConnect (“CheckConnect”, “we”, “our”, or “us”).

By accessing our website, requesting a Quote, making a booking or using our Services, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use our website or engage our Services.

When using our website, you must do so only for lawful purposes. You must not knowingly:

  • interfere with or disrupt the operation or security of the website;
  • attempt to gain unauthorised access to the website or any associated systems;
  • introduce viruses, malicious code or other harmful material;
  • copy, reproduce, distribute, modify or commercially exploit any part of the website or its content without CheckConnect’s prior written consent, except where permitted by law; or
  • use the website in any manner that is unlawful or may adversely affect CheckConnect, its website or other users.

These Terms should be read together with our:

  • Privacy Policy;
  • Bookings, Cancellations & Refund Policy;
  • accepted Quote and any applicable Invoice; and
  • any written scope of work, Engagement Schedule or special conditions applicable to the Engagement.

Where there is any inconsistency between the Engagement documents, the following order of precedence applies:

  1. the accepted Quote and any applicable Invoice (including any special conditions);
  2. these Terms and Conditions;
  3. the Bookings, Cancellations & Refund Policy; and
  4. the Privacy Policy.

Nothing in these Terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law.

2. DEFINITIONS

In these Terms:

Business Day means a day other than a Saturday, Sunday or public holiday in Brisbane, Queensland, on which banks are open for business.

Change Request means a request by the Client to vary the Services, scope, Deliverables, timing, location or other requirements of an existing or proposed Engagement.

Client, you or your means the individual, company or other legal entity requesting or receiving the Services.

Deliverables means any report, photographs, videos, checklists, notes, observations or other material provided by CheckConnect as part of the Services.

Disbursements means reasonable third-party expenses incurred in providing the Services, including (without limitation) parking, tolls, entry fees, courier charges, postage, rideshare or taxi fares, accommodation, airfares and other approved out-of-pocket expenses.

Engagement means the contractual agreement between CheckConnect and the Client for the provision of one or more Services, incorporating these Terms and Conditions, the accepted Quote, any applicable Invoice, and any other agreed documentation relating to the Services.

Engagement Mode means the commercial service package selected by the Client and agreed by CheckConnect for an Engagement, including the applicable scope, pricing, Deliverables and any special conditions set out in the Quote or other agreed documentation.

Engagement Schedule means a document issued by CheckConnect that sets out the specific commercial terms applicable to an Engagement and forms part of the Engagement.

Force Majeure Event means an event beyond the reasonable control of CheckConnect that prevents or delays the performance of the Services, including adverse weather, transport disruptions, restricted access, emergencies, government action, utility failures and the actions or omissions of third parties.

Invoice means a written request for payment issued by CheckConnect in connection with an Engagement, including invoices issued before commencement of the Services, for deposits, progress payments, recurring services, monthly retainers or following completion of the Services, as applicable.

Quote means the written quotation issued by CheckConnect describing the proposed Services, scope, assumptions, pricing, Deliverables and any special conditions. A Quote does not create an Engagement unless accepted in accordance with these Terms.

Services means the instruction-led representation, verification, confirmation, coordination, attendance, observation, reporting and other related services provided by CheckConnect, whether performed in person, remotely or by a combination of both, as agreed in writing.

Site means any land, property, premises, address, meeting location or other place relevant to the Services.

Written or in writing means communication capable of being retained and reproduced, including email, SMS, messaging applications, electronic documents and other electronic communications accepted by CheckConnect.

 

3. OUR SERVICES

3.1 Instruction-led Services

CheckConnect provides a trusted operational presence in Australia by carrying out agreed Services on behalf of the Client. Our Services are instruction-led and tailored to the scope agreed for each Engagement. While CheckConnect performs the agreed Services, the Client remains responsible for its own legal and commercial decisions unless expressly agreed otherwise.

The Client is responsible for providing clear and accurate instructions. CheckConnect will perform the agreed Services using reasonable care and skill in accordance with the agreed scope of the Engagement.

3.2 Nature of the Services

Depending on the Engagement, CheckConnect may act as the Client’s local representative, point of contact or operational presence in Australia.

Services may be performed in person, remotely, or by a combination of both, and may include representation, verification, confirmation, coordination, attendance, observation, communication, follow-up and reporting.

The above examples are not exhaustive. CheckConnect may perform other lawful Services agreed with the Client that are consistent with the Engagement.

All Services are performed by CheckConnect in accordance with the Engagement. Unless expressly agreed in writing, CheckConnect is not a party to agreements between the Client and third parties, and does not assume responsibility for obligations arising under those agreements.

3.3 Scope of the Services

The Services to be provided for each Engagement will be described in the Quote and may include one or more agreed Tasks.

The Client may request changes to the scope of an Engagement at any time. However, CheckConnect is under no obligation to accept any requested change.

Where CheckConnect agrees to a requested change, it may:

  • vary the existing Engagement;
  • issue a revised Quote;
  • require the requested change to be treated as a new Engagement and issue a new Quote; or
  • decline the requested change.

3.4 Services We May Provide

Unless otherwise agreed in writing, CheckConnect may:

  • attend Sites on the Client’s behalf;
  • visit businesses, suppliers, properties or other agreed locations;
  • attend meetings, appointments or events;
  • act as the Client’s local representative or point of contact in Australia;
  • facilitate communication and coordination between the Client and third parties;
  • observe and document factual information;
  • obtain information from relevant third parties;
  • capture photographs, videos or other evidence where permitted;
  • prepare and provide Deliverables; and
  • perform other agreed Tasks or Services consistent with the Engagement.

3.5 Services We Do Not Provide

Unless expressly agreed in writing, CheckConnect does not:

  • make decisions on behalf of the Client;
  • provide legal, financial, accounting, engineering, building, valuation, compliance or other professional advice;
  • certify, inspect or guarantee the condition, quality, authenticity or legality of any person, property, goods or business; or
  • exercise statutory powers or perform work requiring a licence, registration or professional qualification that CheckConnect does not hold.

3.6 Factual Reporting

CheckConnect reports factual observations made, and information obtained, during the Engagement.

Any observations, photographs, videos or Deliverables reflect what was observed or obtained at the relevant time and should not be interpreted as professional advice, a guarantee, certification or prediction of future events.

3.7 Right to Decline, Suspend or Cease Services

CheckConnect may decline, suspend or cease performing all or part of the Services where, in CheckConnect’s reasonable opinion:

  • the requested Services are unlawful or unsafe;
  • the requested Services fall outside the agreed scope of the Engagement;
  • circumstances arise that materially change the nature of the Engagement;
  • the Client requests a variation that CheckConnect does not agree to perform;
  • the Client provides incomplete, inaccurate or misleading information; or
  • CheckConnect is otherwise unable to continue providing the Services.

Where reasonably practicable, CheckConnect will notify the Client as soon as possible.

4.QUOTES, ACCEPTANCE & ENGAGEMENT

4.1 Quotes

CheckConnect will provide a written Quote describing the proposed Services, scope, Deliverables, fees and any special conditions applicable to the Engagement.

Unless otherwise stated, a Quote remains valid for seven (7) Business Days from the date of issue. After this period, the Quote automatically expires and CheckConnect may withdraw, amend or reissue the Quote to reflect changes in pricing, availability, travel costs or other relevant circumstances.

A Quote is an invitation to enter into an Engagement and does not create a contractual agreement until an Engagement is formed in accordance with these Terms.

4.2 Acceptance of a Quote

A Quote is accepted when the Client confirms acceptance of the Quote in a manner accepted by CheckConnect. CheckConnect will record or confirm the Client’s acceptance in writing.

Acceptance of a Quote confirms the Client’s agreement to:

  • the proposed Services;
  • the quoted fees;
  • these Terms and Conditions; and
  • any other documents forming part of the Engagement.

Acceptance of a Quote does not, by itself, create an Engagement.

4.3 Formation of an Engagement

An Engagement is formed when:

  • the Client has accepted the Quote;
  • any required payment has been received, where applicable; and
  • CheckConnect has confirmed acceptance of the Engagement in writing.

Once an Engagement has been formed, CheckConnect will confirm the commencement date of the Engagement, taking into account the agreed Services, location, availability and other operational requirements.

Until an Engagement has been formed, CheckConnect is under no obligation to commence the Services.

4.4 Changes Before Commencement

Before an Engagement commences, the Client may submit a change request to the proposed Services or scope.

CheckConnect is under no obligation to accept any change request.

Where CheckConnect agrees to a change request, it may:

  • vary the proposed Services;
  • issue a revised Quote;
  • adjust the fees, Deliverables or timeframe;
  • require the revised request to be treated as a new Engagement and issue a new Quote; or
  • decline the change request.

5.FEES, PAYMENT & DISBURSEMENTS

5.1 Fees

CheckConnect provides upfront fixed-fee Quotes based on the agreed scope of the Engagement. Unless otherwise stated, the quoted fee includes the Services and Deliverables described in the Quote.

Additional fees may apply where CheckConnect accepts a Change Request, issues a revised Quote, or requires the Change Request to be treated as a new Engagement.

5.2 Payment

Unless otherwise agreed in writing, payment in full of the quoted amount must be received before CheckConnect confirms the Engagement and commences the Services.

Where required to facilitate payment, CheckConnect may issue an Invoice.

Where a Quote is accepted before its expiry, payment in full must be received within two (2) Business Days of acceptance.

If payment is not received within this period, the Quote automatically expires. CheckConnect is under no obligation to honour the quoted fees, availability, proposed commencement date or allocate resources for the Engagement. The Client must obtain a new Quote before the Engagement can proceed.

The Client is responsible for ensuring that CheckConnect receives the full quoted amount. All bank fees, transfer charges, currency conversion costs and similar payment-related charges are to be borne by the Client.

5.3 Disbursements

Unless otherwise stated in the Quote, approved Disbursements are payable by the Client.

Where additional Disbursements become necessary during an Engagement, CheckConnect will seek the Client’s approval before incurring those costs wherever reasonably practicable.

5.4 GST

All fees are quoted in Australian Dollars (AUD).

CheckConnect is not currently registered for Goods and Services Tax (GST). If CheckConnect becomes registered for GST, GST will be charged where required by law.

6. CLIENT RESPONSIBILITIES

6.1 Instructions

The Client must provide complete, accurate and timely instructions necessary for CheckConnect to perform the Engagement.

The Client is responsible for ensuring that all instructions accurately reflect the Services they require.

The Client warrants that, to the best of its knowledge, all information, documents and instructions provided to CheckConnect are accurate, complete, not misleading, and relate to a lawful and legitimate purpose.

6.2 Information

The Client must provide all information, documents and materials reasonably required for CheckConnect to perform the Services.

CheckConnect is entitled to rely on information provided by the Client unless CheckConnect becomes aware that the information is materially inaccurate or incomplete.

6.3 Authority

The Client warrants that it has the authority to:

  • engage CheckConnect;
  • provide instructions relating to the Engagement;
  • authorise CheckConnect to act in accordance with the agreed scope of the Engagement; and
  • provide any information, documents or materials supplied to CheckConnect.

6.4 Access

Where an Engagement requires access to a Site, meeting, event or third party, the Client is responsible for ensuring that CheckConnect has the necessary authority to attend, communicate or otherwise act on the Client’s behalf.

Where obtaining access forms part of the agreed Services, CheckConnect will use reasonable efforts to obtain such access in accordance with the Engagement.

CheckConnect is not responsible where access is refused by a third party or where access cannot be obtained despite reasonable efforts.

6.5 Timeframes

The Client must provide all information, documents, approvals and instructions within sufficient time to enable CheckConnect to assess, plan and perform the Engagement.

Where applicable, required timeframes or commencement dates will be agreed as part of the Engagement.

Failure to provide the required information, documents, approvals or instructions within the agreed timeframe may result in the Engagement being cancelled, rescheduled or otherwise affected in accordance with the Bookings, Cancellations & Refund Policy.

CheckConnect is not responsible for delays, rescheduling or an inability to perform the Services where information, instructions, approvals or access are provided late or are incomplete.

While CheckConnect will make reasonable efforts to accommodate urgent requests, commencement dates, attendance times and availability cannot be guaranteed.

6.6 Cooperation

The Client must respond promptly to reasonable requests for information, clarification or further instructions during the Engagement.

Failure to do so may delay the Services, affect the Deliverables or require a Change Request, revised Quote or new Engagement.

6.7 Decisions

The Client remains responsible for all legal, commercial and operational decisions arising from the Engagement.

CheckConnect performs the agreed Services and provides factual observations and Deliverables but does not make decisions on behalf of the Client unless expressly agreed in writing.

6.8 Lawful Instructions

The Client must not require CheckConnect to perform any unlawful, unsafe or unethical activity.

CheckConnect may refuse any instruction that it reasonably believes is unlawful, unsafe, unethical or otherwise inconsistent with these Terms.

6.9 Sanctions and Prohibited Activities

The Client must not use, or attempt to use, CheckConnect’s Services in connection with any person, entity, activity, transaction, country or jurisdiction where providing the Services would breach any sanctions, restrictions or prohibitions applicable under Australian law.

CheckConnect may request information or documents reasonably required to identify the Client, relevant parties and the nature and purpose of an Engagement, and may undertake reasonable checks before accepting or continuing an Engagement.

CheckConnect may refuse to accept, suspend or terminate an Engagement immediately where CheckConnect reasonably believes that providing the Services may breach an applicable sanction, restriction, prohibition or other law, where required information cannot be satisfactorily verified, or where CheckConnect otherwise has reasonable legal or compliance concerns regarding the Engagement.

CheckConnect is not required to provide detailed reasons for a decision made under this clause where doing so may disclose confidential compliance considerations or otherwise be inappropriate or prohibited by law.

CheckConnect is not required to provide any Service or undertake any activity that it reasonably believes may expose CheckConnect to a breach of applicable Australian law or sanctions requirements.

7. CHANGES & TERMINATION

7.1 Change Requests During an Engagement

A Client may submit a Change Request at any time during an Engagement.

CheckConnect is under no obligation to accept a Change Request.

Where CheckConnect agrees to a Change Request, it may:

  • vary the existing Engagement;
  • issue a revised Quote;
  • adjust the fees, Deliverables or timeframe;
  • require the Change Request to be treated as a new Engagement and issue a new Quote; or
  • decline the Change Request.

7.2 Termination by the Client

The Client may terminate an Engagement at any time by providing written notice to CheckConnect.

Termination does not affect the Client’s responsibility to pay for:

  • Services performed;
  • Deliverables provided;
  • approved Disbursements incurred; and
  • any other costs properly incurred before termination.

Any refund will be determined in accordance with CheckConnect’s Bookings, Cancellations & Refund Policy.

7.3 Termination by CheckConnect

CheckConnect may terminate an Engagement immediately where:

  • the Client materially breaches these Terms;
  • payment obligations are not met;
  • the Client provides unlawful, unsafe or unethical instructions;
  • CheckConnect reasonably believes the Engagement involves unlawful, fraudulent or misleading conduct; or
  • continuing the Engagement would expose CheckConnect to unreasonable legal, financial, commercial, reputational or safety risk.

Where reasonably practicable, CheckConnect will notify the Client in writing.

7.4 Recurring Engagements

Recurring Engagements are subject to an Engagement Schedule, which forms part of the Engagement together with these Terms and Conditions, the accepted Quote and any other applicable documents.

The Engagement Schedule sets out the additional commercial terms applicable to the recurring Engagement, including (where applicable) billing arrangements, included Services, rollover provisions, Additional Charges, notice periods and other recurring engagement conditions.

Unless otherwise stated in the Engagement Schedule, either party may terminate a recurring Engagement by providing not less than thirty (30) days’ written notice.

This notice requirement does not apply where CheckConnect terminates the Engagement immediately under clause 7.3.

7.5 Financial Consequences of Termination

Where an Engagement is terminated before completion, the Client remains responsible for paying for all Services performed, Deliverables provided, approved Disbursements incurred and any other costs properly incurred up to the date of termination.

Any refund will be determined in accordance with CheckConnect’s Bookings, Cancellations & Refund Policy.

7.6 Effect of Termination

Termination of an Engagement does not affect:

  • any rights or obligations accrued before termination;
  • payment obligations for Services already performed;
  • confidentiality obligations; or
  • any provision of these Terms intended to survive termination.

8. LIMITATION OF LIABILITY

8.1 Reasonable Care

CheckConnect will perform the Services with reasonable care and skill in accordance with these Terms, the agreed Quote and any applicable Engagement Schedule.

8.2 No Guarantee of Outcome

CheckConnect is engaged to perform the agreed Services and provide the Deliverables described in the Engagement.

CheckConnect does not guarantee any particular commercial, financial, legal or personal outcome arising from those Services.

8.3 Client Decisions

The Client remains responsible for any legal, commercial, financial or personal decisions made in reliance on the Services, Deliverables or information provided by CheckConnect.

8.4 Third Parties

CheckConnect may communicate or liaise with third parties as part of an Engagement but cannot compel any third party to cooperate, provide information, grant access or take any particular action.

CheckConnect is not responsible for the actions, omissions, delays, information or decisions of third parties, including property owners, suppliers, businesses, contractors, government authorities or other persons involved in an Engagement.

8.5 Information Obtained During an Engagement

CheckConnect reports factual observations and information obtained during an Engagement.

Unless expressly stated otherwise, CheckConnect does not verify or warrant the accuracy, completeness or reliability of information provided by third parties and is entitled to rely on such information when performing the agreed Services.

8.6 Events Beyond Our Reasonable Control

CheckConnect is not responsible for delays, interruptions, an inability to perform the Services or additional costs arising from circumstances beyond our reasonable control.

Examples include adverse weather, transport disruptions, restricted access, emergencies, government action, utility failures and the actions or omissions of third parties.

Where reasonably practicable, CheckConnect will notify the Client and work with them to determine whether the Engagement should be rescheduled, varied or concluded. Additional Charges may apply where the agreed Services are varied or rescheduled.

8.7 Inability to Perform the Services

If CheckConnect is unable to perform the agreed Services due to illness, injury, incapacity, accident or other circumstances beyond its reasonable control affecting the person responsible for performing the Services, CheckConnect will notify the Client as soon as reasonably practicable.

The parties will work together in good faith to determine whether the Engagement should be rescheduled, varied or terminated.

Where the Engagement cannot reasonably proceed, any refund will be determined in accordance with CheckConnect’s Bookings, Cancellations & Refund Policy.

8.8 Limitation of Liability

To the maximum extent permitted by law, CheckConnect’s liability arising from its own acts or omissions in connection with an Engagement will not exceed the total Fees paid by the Client for that Engagement.

To the maximum extent permitted by law, CheckConnect is not liable for any indirect, consequential or economic loss arising from an Engagement.

This limitation does not apply to any rights or remedies that cannot legally be excluded or limited under applicable law.

8.9 Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot legally be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.

9. CONFIDENTIALITY & PRIVACY

9.1 Confidential Information

Both CheckConnect and the Client agree to keep Confidential Information relating to an Engagement confidential and not disclose it to any third party except where disclosure is:

  • reasonably necessary to perform the Services;
  • authorised by the other party in writing; or
  • required by law.

9.2 Privacy

CheckConnect collects, uses, stores and discloses personal information in accordance with its Privacy Policy, as updated from time to time.

The Privacy Policy forms part of the Engagement documentation and should be read together with these Terms, the accepted Quote and any applicable Engagement Schedule.

9.3 Sharing Information

The Client authorises CheckConnect to communicate with and provide information to third parties where reasonably necessary to perform the agreed Services.

This may include property owners, suppliers, businesses, contractors, government authorities or other persons involved in the Engagement.

CheckConnect will only disclose information that is reasonably necessary to perform the agreed Services or where required by law.

9.4 Engagement Records

CheckConnect may retain records relating to an Engagement, including correspondence, photographs, videos, notes, reports and other Deliverables, where reasonably required for business, legal, regulatory, insurance or record-keeping purposes, or as otherwise described in the Privacy Policy.

Unless the Client gives prior written consent, CheckConnect will not use material created during an Engagement for marketing or promotional purposes where the Client or the Engagement could reasonably be identified.

10. INTELLECTUAL PROPERTY

10.1 Ownership

Unless otherwise agreed in writing, CheckConnect retains ownership of all intellectual property rights in its systems, processes, methodologies, templates, documents, reports, checklists, photographs, videos and other material owned, created or developed by CheckConnect before, during or independently of an Engagement.

10.2 Client Use of Deliverables

Subject to the Client paying all Fees owing under the Engagement, the Client may use the Deliverables provided by CheckConnect for any lawful purpose connected with the Engagement.

Nothing in these Terms transfers ownership of CheckConnect’s intellectual property to the Client.

10.3 Client Material

The Client retains ownership of all information, documents and other material supplied to CheckConnect for the purposes of an Engagement.

The Client grants CheckConnect a non-exclusive right to use that material only to the extent reasonably necessary to perform the agreed Services.

11. GENERAL

11.1 Governing Law

These Terms are governed by the laws of Queensland, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of Queensland and any courts entitled to hear appeals from those courts.

11.2 Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions will continue in full force and effect.

11.3 No Waiver

If CheckConnect delays or does not exercise a right under these Terms, that does not waive that right or prevent it from being exercised later.

11.4 Changes to these Terms

CheckConnect may update these Terms from time to time.

The version of the Terms that applies to an Engagement is the version made available to the Client at the time the Quote is accepted, unless otherwise agreed in writing.
